These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Taskiba (“Taskiba”, “Company”, “we”, “us”, or “our”) governing your access to and use of Taskiba’s website, software applications, and related services (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Service.

Subject to compliance with these Terms, Taskiba grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for internal business or personal project management purposes.
3.2.
You shall not:
Use the Service for any unlawful or prohibited purpose.
Attempt to reverse engineer, decompile, or otherwise derive source code.
Interfere with or disrupt the integrity or performance of the Service.
Introduce malware, viruses, or other harmful components.
4.
Subscription Plans, Fees, and Payments
4.1.

Fees are billed in advance and are non-refundable unless expressly stated otherwise.

Taskiba reserves the right to modify pricing or subscription terms upon reasonable prior notice.

User Content and Data Ownership
5.1.
You retain all right, title, and interest in and to the content, data, and materials you upload or create using the Service ("User Content").
5.2.
You grant Taskiba a limited, worldwide, royalty-free license to host, store, process, and display User Content solely for providing and improving the Service.
5.3.
Taskiba does not claim ownership of User Content and does not sell User Content to third parties.
6.
Data Protection and Privacy
6.1.
Taskiba processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.
6.2.
By using the Service, you consent to such data processing practices.
7.
Third-Party Services
7.1.
The Service may contain integrations or links to third-party products or services.
7.2.
Taskiba does not control and is not responsible for the content, terms, or practices of such third parties.
7.3.
Use of third-party services is at your own risk.
8.
Service Availability and Modifications
8.1.
Taskiba does not guarantee uninterrupted or error-free operation of the Service.
8.2.
Taskiba reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

Taskiba shall not be liable for any loss or damage resulting from service interruptions or modifications.
9.
Suspension and Termination

Taskiba may suspend or terminate your access to the Service immediately if you:

Fail to pay applicable fees;
9.1.3.
Engage in conduct that poses a security, legal, or operational risk.

Upon termination, your right to access the Service shall immediately cease.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TASKIBA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability
11.1.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

TASKIBA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.
11.3.
TASKIBA’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TASKIBA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12.
Indemnification
12.1.
You agree to indemnify, defend, and hold harmless Taskiba from and against any claims, damages, liabilities, losses, and expenses arising out of your use of the Service or violation of these Terms.
13.
Governing Law and Jurisdiction
13.1.
